Terms of Service
Appartio is offered by HERBICON. This is a first version for internal review; please have qualified legal counsel approve before publication.

1. Agreement
By accessing or using the websites, applications, and related services that we operate under the name “Appartio” (together, the “Service”), you agree to these Terms of Service (“Terms”). If you use the Service on behalf of an organisation, you confirm that you are authorised to bind that organisation to these Terms.
2. The Service
The Service is a software platform for building and syndic management, including tools for communication, meetings, accounting-related workflows, and other features we may add or remove from time to time. We do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue parts of the Service with reasonable notice where practicable.
3. Accounts and roles
You may need an account to use certain features. You agree to provide accurate registration information and to keep credentials confidential. Building managers, owners, tenants, and other roles may receive invitations or access through a syndic or administrator; you are responsible for activity under your account. Notify us promptly of any unauthorised use.
4. Acceptable use
You will not, and will not permit others to:
- break applicable law or infringe others’ rights;
- upload malware, probe or test vulnerabilities, or interfere with the Service or other users;
- scrape, resell, or misuse the Service in ways that exceed your subscription or fair use;
- use the Service to send spam or misleading communications;
- attempt to access data or accounts you are not authorised to use.
We may investigate and suspend or terminate access for violations or risk to the platform or third parties.
5. Your content and building data
You retain your rights in content and data you submit (“Customer Data”). You grant HERBICON a licence to host, process, and display Customer Data only as needed to provide and improve the Service, comply with law, and as described in our Privacy Policy. You are responsible for the legality of Customer Data and for obtaining any consents needed from data subjects.
6. Intellectual property
The Service, including software, branding, and documentation, is owned by HERBICON or its licensors. Except for the limited right to use the Service under these Terms, no rights are granted to you.
7. Fees
If you subscribe to a paid plan, fees, billing cycles, and taxes are as stated in your order or agreement. We may change prices for future periods with advance notice. Unless otherwise agreed, fees are non-refundable.
8. Third-party services
The Service may integrate third-party services (hosting, email, payments, etc.). Your use of those services may be subject to the third parties’ terms; we are not responsible for their acts or omissions.
9. Disclaimers
The Service is provided “as is” and “as available”. To the fullest extent permitted by law, HERBICON disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. The Service does not constitute legal, tax, accounting, or professional advice; you remain responsible for compliance with housing law, accounting rules, and co-ownership regulations applicable to your buildings.
10. Limitation of liability
To the fullest extent permitted by law, HERBICON and its officers, employees, and affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill. Our aggregate liability arising out of these Terms or the Service is limited to the greater of (a) the amounts you paid to HERBICON for the Service in the twelve (12) months before the claim, or (b) one hundred (100) euros. Some jurisdictions do not allow certain limitations; in those cases our liability is limited to the maximum permitted by law.
11. Indemnity
You will defend and indemnify HERBICON against claims, damages, and costs (including reasonable legal fees) arising from your use of the Service, your Customer Data, or your breach of these Terms, except to the extent caused by HERBICON’s wilful misconduct.
12. Termination
You may stop using the Service at any time. We may suspend or terminate your access for breach of these Terms, legal risk, or extended inactivity, with notice where reasonable. Upon termination, your right to use the Service ends; we may delete Customer Data according to our retention practices and Privacy Policy.
13. Changes
We may update these Terms from time to time. We will post the revised version and update the “Last updated” date. If changes are material, we will provide additional notice where required by law. Continued use after the effective date constitutes acceptance of the revised Terms.
14. Governing law and disputes
These Terms are governed by the laws of Belgium, without regard to conflict-of-law rules. Courts in Belgium shall have exclusive jurisdiction, without prejudice to mandatory consumer protections where they apply.
